Item 1.01 Entry into a Material Definitive Agreement.

     On January 23, 2006, PolyOne Corporation’s Compensation and Governance Committee of the Board of Directors approved a one-time recognition award in the amount of $50,000 each to the following executive officers who, together with the Chairman, President and CEO, have been responsible for executive and operating matters of the Company during the CEO-transition period: Wendy C. Shiba, Kenneth M. Smith, and W. David Wilson, in recognition of the additional duties and responsibilities assumed.
